Yeah, the differences are pretty major, but I can't actually tell you anymore what they are... As soon as I got the second edition I gave the first edition away (or put it in the recycle bin).

IIRC, the first edition was published without any art at all, as they hadn't gotten permission. So there was no art on the covers, nor on the inside of the book. In addition to finally having art, the second edition has a new 30-40 page interview with Morrison. There are also new annotations that aren't in the first edition, after I complained to the authors (back when they were active on the Yahoo Invisibles list) about how lame the annotations were, and asked why they hadn't used any of the generally excellent annotations from Jay Babcock's site (the answer: they didn't know how to handle getting permissions from people).
So the second edition includes some of the web annotations from people who gave permission (including quite a few of mine), and a bibliography of books relevant to, or mentioned in, the series, which I don't believe was in the first edition (The bibliography includes a mention of a novel I wrote in the 90s, which Grant mentioned favorably in one of the Invisibles letter columns, so that was kind of cool to see).

So anyway, yeah: definitely go for the second edition, it's good-to-decent, but the first edition is really only worth it if someone gives it to you for free.
